Terms of Service

These Terms govern the use of Coat Rack — the catalog, the listing flow, the checkout, and the buyer-protection claim process. They are written in plain language where the law allows. Defined terms appear in italics.

Acceptance of these terms

By using Coat Rack (the “Platform”) you agree to these Terms of Service. If you do not agree, do not use the Platform. These Terms apply to anyone who browses the catalog, lists a piece, or buys a piece on Coat Rack.

We may update these Terms. Material changes will be announced via the email on file and on this page; the “Effective” date at the top of this page reflects the latest revision. Continued use after a change constitutes acceptance of the updated Terms.

Accounts

To list a piece or buy a piece, you must create an account. You must be at least eighteen (18) years old and capable of forming a binding contract under applicable law.

You are responsible for the security of your account credentials and for all activity that occurs under your account. Sign-in is via magic link. Promptly notify us if you suspect unauthorized access.

You may close your account at any time by writing to hello@coatrack.app. Outstanding orders, claims, and payouts will continue under their existing terms until resolved.

Listings and high-value review

When you list a piece, you represent and warrant that you are the lawful owner, that you have the right to sell the piece, and that your description (including photos, condition notes, and the ask) is accurate to the best of your knowledge.

Each listing is scored by Coat Rack’s authentication ensemble (see /how-it-works/technicals). Listings that do not pass the verdict threshold will not go live.

Listings with a declared value above $5,000 are routed to manual pre-listing review by a Coat Rack operator. Operator approval is a Coat Rack business gate for listing publication. It is not a certification or guarantee of authenticity by a licensed authenticator, and it does not substitute for the platform’s automated verification pipeline or for the buyer’s 72-hour inspection window.

We may remove or refuse to publish any listing at our sole discretion. We do not edit your photos, your ask, or your description without your input.

Prohibited items and conduct

You may not list or attempt to sell:

  • Items you do not own or have no legal right to sell.
  • Items the authentication ensemble or operator review concludes are likely counterfeit, including items the seller knows or reasonably should know are not genuine.
  • Items prohibited by applicable law, including items subject to export control, embargo, or sanctions regulations.
  • Stolen items, recovered items, or items of unclear provenance.
  • Items that infringe a third party’s rights.

You may not, in connection with the Platform:

  • Misrepresent the condition, age, provenance, or maker of a piece.
  • Attempt to circumvent the inspection window, the claim flow, or the platform fee.
  • Submit fraudulent claims or evidence.
  • Use the Platform to launder funds or finance any activity prohibited by law.

Payments and escrow

Buyers pay through Stripe. At checkout, the buyer’s payment is authorized and held in platform-controlled escrow. Funds are captured to the platform and released to the seller after the inspection window closes without a claim, or after the buyer accepts the piece, whichever comes first. Net seller payout is transferred via Stripe Connect.

The inspection window is 72 hours from delivery confirmation. From sale to seller bank account, total payout time is typically 5–10 days. See /how-it-works/buyers-and-sellers for the full breakdown.

Refunds are processed back to the buyer’s original payment method. If a claim is opened during the inspection window, payout is paused until the claim is resolved.

Platform fees and taxes

Coat Rack collects a marketplace facilitation fee from each transaction equal to 10% of the ask. This is not a tax. Payment processing fees are absorbed inside the facilitation fee; sellers do not see a separate processing line.

Sellers are responsible for any income tax owed on proceeds. Stripe Connect issues a 1099-K to sellers who meet the federal threshold (currently $600); state thresholds may apply on top. Coat Rack does not provide individual tax advice.

Where Coat Rack is required to collect and remit sales tax under marketplace facilitator law, the tax is computed at checkout and shown to the buyer. The marketplace facilitation fee is not a tax.

Buyer protection and claims

Coat Rack offers buyer protection through the inspection window and an operator-driven adjudication process. The buyer may, at any time during the inspection window, accept the piece (which releases payout to the seller) or open a claim (which pauses payout pending review).

Claim types are substitution (the piece received is not the piece in the listing) and not-as-described (the piece is the same piece but materially differs from the listing’s condition or description).

Resolutions are refund (full or partial, processed back through the payment method) or release (payout continues to the seller). The full process is on /legal/buyer-protection.

Disputes between users

Coat Rack acts as the platform; we are not the seller, and we are not a party to the underlying contract of sale between buyer and seller. Disputes outside the buyer-protection claim flow are between the buyer and seller. We may, at our discretion, assist with mediation; we are not obligated to do so.

You will not bring a chargeback or payment-network dispute on a transaction that is, or has been, the subject of an open Coat Rack claim, except where required by law.

Intellectual property

The Platform, the Coat Rack name, the wordmark, the verification report layout, and the underlying authentication models are owned by Coat Rack and licensed to you for the purpose of using the Platform. You receive no other license.

By posting a listing you grant Coat Rack a non-exclusive, worldwide, royalty-free license to display the listing photos and description on the Platform and in promotional materials (including sharing and SEO surfaces), and to use the photos internally for authentication model training and the reference set, in each case for so long as the listing is active and for a reasonable wind-down period thereafter.

Indemnification

You agree to indemnify, defend, and hold harmless Coat Rack and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Platform, your listings, your purchases, your breach of these Terms, or your violation of applicable law or any third-party right.

Warranty disclaimer

The Platform is provided as is and as available. To the maximum extent permitted by law, Coat Rack disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Coat Rack’s authentication ensemble produces a confidence score and a verification report. The score is a probabilistic assessment, not a representation of perfect accuracy. Coat Rack does not currently offer a financial authenticity guarantee.

Limitation of liability

To the maximum extent permitted by law, Coat Rack’s total aggregate liability for any claim arising out of or relating to these Terms or the Platform will not exceed the greater of (a) the platform fees Coat Rack received from the transactions giving rise to the claim in the twelve (12) months preceding the event, or (b) $100.

Coat Rack is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility.

Governing law and venue

These Terms are governed by the laws of the State of [TBD — confirm with counsel before launch], without regard to conflict of laws principles.

Subject to the arbitration clause below, any action arising out of these Terms will be brought exclusively in the state or federal courts located in [TBD — confirm with counsel before launch], and you consent to personal jurisdiction in those courts.

Arbitration and class waiver

Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration rather than in court, except that you may bring claims in small-claims court if they qualify. Arbitration will be administered by a recognized arbitration provider under its consumer rules in [TBD — confirm with counsel before launch].

Class waiver. You and Coat Rack agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

You may opt out of this arbitration clause by emailing hello@coatrack.app within thirty (30) days of first accepting these Terms. Opting out affects only this clause; the rest of these Terms continue to apply.

Termination

We may suspend or terminate your access to the Platform at any time, for any reason or no reason, including for breach of these Terms. Sections that by their nature should survive termination will survive, including indemnification, warranty disclaimer, limitation of liability, and dispute resolution.
